By accessing or using PCSCon ("the Service," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users of the Service, including clients, general contractors, subcontractors, and visitors.

PCSCon is a commercial construction networking platform that connects: - **Clients** who post commercial, institutional, and government construction projects - **General Contractors** who browse projects and submit competitive bids - **Subcontractors** who discover projects, view bidding activity, and connect with general contractors The Service facilitates project posting, bid submission, contractor discovery, and professional networking within the commercial construction industry.

To access certain features of the Service, you must create an account. You agree to: - Provide accurate, current, and complete information during registration - Maintain and update your information to keep it accurate and current - Keep your password secure and confidential - Accept responsibility for all activities that occur under your account - Notify us immediately of any unauthorized use of your account We reserve the right to suspend or terminate accounts that provide false or misleading information.

The Service offers three account types, each with specific capabilities: **Client Accounts:** Can post projects, receive bids from general contractors, compare proposals, and award projects. **General Contractor Accounts:** Can browse posted projects, submit bids, view subcontractor profiles, and manage their project pipeline. **Subcontractor Accounts:** Can view posted projects, see which general contractors are bidding, submit quotes to general contractors, and browse the contractor directory. You must register under the account type that accurately reflects your role in the construction industry.

You agree not to: - Post false, misleading, or fraudulent project listings or bids - Misrepresent your company, credentials, licenses, or capabilities - Use the Service for any unlawful purpose or in violation of any applicable laws - Harass, abuse, or harm another user - Collect or harvest information from other users without their consent - Interfere with or disrupt the Service or servers connected to the Service - Attempt to gain unauthorized access to any portion of the Service - Use automated systems to access the Service without our prior written consent We reserve the right to remove any content that violates these Terms and to suspend or terminate accounts that engage in prohibited conduct.

**Clients** are responsible for the accuracy of project information they post, including specifications, timelines, and requirements. **General Contractors** are responsible for the accuracy of bids and proposals they submit, including pricing, timelines, and qualifications. **Subcontractors** are responsible for the accuracy of quotes and information they provide to general contractors. PCSCon does not guarantee the accuracy, quality, or legality of any project listing, bid, proposal, or user-generated content on the platform. We act as a facilitator of connections and do not participate in the actual construction work or contractual agreements between users.

Certain features of the Service may require a paid subscription. By subscribing to a paid plan, you agree to: - Pay all fees associated with your selected plan - Provide valid payment information - Authorize us to charge your payment method on a recurring basis (if applicable) - Accept that fees are non-refundable except as expressly stated in our refund policy We reserve the right to change our fees at any time. Changes will be communicated to affected users before they take effect.

The Service and its original content, features, and functionality are owned by PCSCon and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the Service without our express written consent. You retain ownership of the content you post on the Service (project descriptions, bids, proposals, etc.). By posting content, you grant us a license to display, distribute, and store that content for the purpose of operating the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT: - THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE - THE QUALITY OF ANY PRODUCTS, SERVICES, OR INFORMATION OBTAINED THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS - ANY DEFECTS IN THE SERVICE WILL BE CORRECTED PCSCon does not guarantee that users will win projects, secure contracts, or achieve any specific business outcome through use of the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PCSCon AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless PCSCon and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: - Your use of the Service - Your violation of these Terms - Your violation of any rights of any third party - Any dispute between you and another user of the Service

Any disputes arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the laws of the applicable Canadian province. Nothing in this section shall prevent either party from seeking injunctive relief in a court of competent jurisdiction.

We may terminate or suspend your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time by contacting us. Upon termination, we may retain certain information as required by law or for legitimate business purposes.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of Canada and the applicable province in which PCSCon operates, without regard to conflict of law principles.
